The Musk v. Altman trial opened in Oakland yesterday. Nine jurors. A federal courthouse. Opening arguments in what commentators are calling the "trial of the century" for artificial intelligence.

They're not wrong about the stakes. They are wrong about what the stakes actually are.

This case will determine whether Sam Altman and OpenAI breached a charitable trust when they transitioned from a nonprofit research organization to a venture-backed corporation now valued in the hundreds of billions. It will not determine who governs AI. It will not determine who controls the infrastructure through which AI runs. It will not answer the question that the next fifty years of human civilization will turn on: when a single entity controls the training data, the models, the communications network, the deployment platforms, and the compute — who governs that?

No one in that courtroom is asking that question. And that is the conversation we need to have right now.

Two Sides, One Blind Spot

Elon Musk's argument is that OpenAI betrayed a public mission. A nonprofit built to benefit humanity was converted into a profit-maximizing enterprise serving its largest investor. That argument is not wrong. But consider who is making it: the founder of a company that, in February of this year, merged its AI division with its rocket company to create a single corporate entity currently valued at $1.25 trillion — controlling AI models, satellite communications, autonomous vehicles, social media platforms, physical robotics, and now seeking regulatory approval for one million AI-accelerated satellites in orbit.

Sam Altman's argument is that OpenAI belongs to everyone, that AI power should be distributed broadly, and that the for-profit restructuring was necessary to raise the capital required to build safe and beneficial AI at scale. That argument is not wrong either. But the restructuring produced a for-profit public benefit corporation in which the nonprofit retains roughly 25% ownership while Microsoft holds $13 billion in leverage — and in which the word "safely" has been quietly removed from the mission statement.

Neither side is offering a governance architecture. They are fighting over a company. The question of who governs the infrastructure those companies are building is not on the docket.

The Piece Nobody Is Talking About

Here is what is not being litigated: a single private entity is seeking regulatory approval to place one million AI-accelerated satellites in Earth orbit — designed to function as a distributed supercomputer operating beyond any terrestrial regulator's reach.

Not subject to the FTC. Not subject to the DOJ. Not within the jurisdiction of any nation-state. Not overseen by any nonprofit board. Operating under international space law frameworks designed for communication relays and weather observation, not for the training and inference of artificial intelligence at scale.

This is not science fiction. It is the explicit, publicly stated infrastructure strategy of the same party whose lawsuit is framed as a defense of AI's public interest mission.

We want to be precise here: the problem is not Elon Musk. The problem is architecture. The same analysis applies to any single entity — any corporation, any government, any foundation — that accumulates simultaneous control over the data pipeline, the model layer, the communications substrate, and the physical infrastructure through which intelligence flows. Concentration at that scale, in any hands, is a governance failure.

The trial will produce a verdict. Verdicts resolve disputes between parties. They do not redesign the structural conditions that allow the disputes to arise.

What Governance Actually Requires

A governance framework adequate to this moment needs to satisfy conditions that neither the courtroom nor the current regulatory apparatus is designed to meet.

It must be substrate-agnostic. Whether AI runs on data centers, on vehicles, on satellites, or on hardware we have not yet built — the governance principles must apply. Jurisdiction cannot be a function of altitude.

It must be structural, not advisory. Ethics embedded in guidelines and policy papers has not prevented the concentration of power we are watching unfold in real time. The structural conditions must make concentration difficult, not merely discouraged.

It must be partnership-based, not oversight-based. The adversarial framing — regulator versus company, nonprofit versus for-profit, one founder versus another — produces litigation. It does not produce governance. The framework must align incentives structurally, so that the architecture itself resists capture rather than relying on the goodwill of any individual actor.

It must account for the fact that AI infrastructure is now global, orbital, and physically embodied in ways that existing legal frameworks were not designed to address. International coordination is not optional. It is the minimum necessary condition.

Why This Moment Matters

Trials are a rare occasion when public attention concentrates on questions that usually remain technical and obscure. The Musk v. Altman case has done something unusual: it has made AI governance a dinner-table conversation. People who do not follow technology policy are asking what OpenAI is, who controls it, and whether that matters.

It matters. And the conversation needs to go further than the courtroom is capable of taking it.

The question before the jury is whether a charitable trust was breached. The question before the rest of us is whether the infrastructure of intelligence — the systems that will increasingly shape what humans know, how they move, how they communicate, and how they make decisions — should be owned, controlled, and operated by any single entity without structural accountability to humanity as a whole.

We believe the answer is no. We believe that answer needs to be built into the architecture, not appealed to in court after the fact.
